Terms of Service

Article 1 (Scope of Application)
These Terms govern all use of SmoothQ, including browsing, search, inquiries, registration, API access, and related interactions. By using the Service, a user is deemed to have agreed to these Terms, together with our Privacy Policy, Cookie Policy, Security Policy, and any separately posted operational rules. If individual contracts or written conditions exist for a particular service relationship, those individual conditions prevail over these Terms to the extent of any inconsistency.
Article 2 (Definitions)
In these Terms, "User" means any individual or entity that browses or uses the Service, and "Registered User" means a user whose account registration has been completed in accordance with our procedures. "Facility Information" means information relating to hospitals, municipal service counters, government agencies, and other covered facilities, including names, locations, attributes, congestion conditions, and wait-time-related information. "Prediction Information" means estimated values generated from our statistical models, forecasting logic, or external data integrations.
Article 3 (Nature of the Service)
SmoothQ is designed to support decisions by providing estimated wait times, congestion tendencies, maps, related facility information, and similar content. Prediction Information may be affected by network conditions, changes in facility operations, disaster response, infectious disease outbreaks, reception stoppages, external data availability, and other fluctuating factors. Accordingly, the Service does not guarantee actual waiting times, service availability, reception status, or administrative outcomes, and users should confirm official information where appropriate.
Article 4 (Registration and Account Management)
Registered Users must provide truthful, accurate, and current registration information and manage their credentials, devices, and authentication methods at their own responsibility. We may refuse registration or suspend or delete an account without prior notice where we determine that false information, impersonation, account sharing, unauthorized use, or inadequate security management has occurred. Unless caused by our willful misconduct or gross negligence, we are not responsible for losses caused by inadequate user-side credential management.
Article 5 (User Environment and Cooperation)
Users must, at their own cost and responsibility, prepare and maintain the communication environment, devices, browsers, operating systems, power supply, authentication means, and other conditions necessary to use the Service. If a user identifies a defect, display error, vulnerability, or possible infringement, the user shall cooperate to a reasonable extent by notifying us and providing information necessary for impact assessment and remediation.
Article 6 (Prohibited Conduct)
Users must not engage in unlawful conduct, public-order violations, circumvention of authentication or authorization, excessive crawling or scraping, reverse engineering, abusive vulnerability testing, denial-of-service behavior, improper acquisition of third-party personal information, infringement of intellectual property or personal rights, submission of false information, support of antisocial forces, or any other action that disrupts the stable operation of the Service.
Article 7 (Intellectual Property and Usage Rights)
Rights in and to the Service, including programs, screen design, text, images, databases, predictive logic, layouts, trademarks, and know-how, belong to us or the rightful owners. Any permission granted to use the Service is non-exclusive, non-transferable, and non-sublicensable. Except to the extent permitted by law, users may not reproduce, alter, distribute, publicly transmit, sell, repurpose, or otherwise exploit Service materials beyond normal use of the Service.
Article 8 (Use of Prediction Information)
Users shall treat Prediction Information as reference information only. For medical urgency, legal deadlines, administrative finality, or other decisions involving significant rights or interests, users must verify with official facility information, direct telephone contact, or on-site confirmation as appropriate. We do not assume result-guarantee liability for delays, inaccuracies, omissions, or discrepancies arising from facility-side circumstances or data availability.
Article 9 (External Services and Third-Party Content)
The Service may connect to or display third-party services or content for maps, social sharing, public information reference, external links, or similar functions. Conditions, availability, privacy handling, rights clearance, and security for such third-party services are determined by the relevant third party. Except where attributable to us, we are not responsible for stoppages, changes, specification differences, or legal issues of third-party services.
Article 10 (Suspension, Changes, and Maintenance)
We may suspend, restrict, change, or discontinue all or part of the Service where necessary for maintenance, incident response, security action, equipment updates, legal compliance, natural disaster response, communications failure, or other unavoidable reasons. Except in urgent situations, we will endeavor to provide advance notice or timely follow-up notice within a reasonable scope.
Article 11 (Use Restriction and Account Deletion)
We may restrict use, suspend access, or delete registration without prior demand where a user violates or is reasonably suspected of violating these Terms, cannot be properly verified, remains unresponsive to our communications, is associated with antisocial forces, or is otherwise deemed inappropriate for operational reasons. We may also take similar measures where continued access creates security, legal, or service stability concerns.
Article 12 (Disclaimer and Limitation of Liability)
We do not warrant that the Service is suitable for a specific purpose, complete, continuous, free of defects, non-infringing, or free from predictive error. Except in cases of our willful misconduct or gross negligence, our liability is limited to ordinary and direct damages actually incurred by the user, and excludes lost profits, indirect damages, special damages, business interruption, and third-party claims. Where mandatory law such as the Consumer Contract Act limits disclaimers, this Article shall be construed within the legally permitted scope.
Article 13 (Notices, Amendments, and Assignment)
We may provide notices by posting on the Service, sending to a registered email address, or using another method we consider appropriate. We may amend these Terms in response to legal changes, service expansion, operational necessity, or risk reduction needs, and will communicate the revised content and effective date by reasonable means. Users may not assign, transfer, pledge, or otherwise dispose of their contractual status or rights and obligations under these Terms without our prior written consent.
Article 14 (Severability and Supplemental Interpretation)
If any provision of these Terms is held invalid or unenforceable under law or court judgment, the remaining provisions remain in effect. Matters not addressed in these Terms, or interpretive ambiguity, shall be resolved in accordance with the Civil Code, Commercial Code, Consumer Contract Act, Act on Specified Commercial Transactions, other applicable laws, and reasonable business practice, with good-faith consultation where necessary.
Article 15 (Governing Law, Jurisdiction, and Consultation)
These Terms and all Service-related relationships are governed by Japanese law. Any litigation arising in connection with the Service shall fall under the exclusive jurisdiction of the Tokyo District Court as the court of first instance. However, users are expected, as a matter of early resolution and damage mitigation, to first contact our inquiry desk so that the parties may clarify facts and discuss possible corrective action before litigation where practicable.
